WiseSignal Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and Wisesignal, LLC, a Delaware limited liability company ("WiseSignal," "we," "us," or "our"). These Terms govern your access to and use of the WiseSignal website, application, public tracker, research tools, and all related services (collectively, the "Service").
Please read these Terms carefully before using the Service.
By creating an account, starting a trial, subscribing, or checking the "I agree to the Terms of Service and Privacy Policy" checkbox at sign-up, you agree to be bound by these Terms and our Privacy Policy. This constitutes your affirmative consent and is the primary contractual mechanism governing your use of the Service.
By accessing or using publicly available portions of the Service (such as the public tracker), you agree that your use is subject to these Terms to the extent applicable.
If you do not agree to these Terms, you must not use the Service.
By using the Service, you represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into these Terms.
These Terms apply to all users of the Service, including users of Public Features, registered account holders, trial users, and paying subscribers.

1. Definitions
The following capitalized terms have the meanings set forth below. Other capitalized terms are defined where they first appear in these Terms.
"Account" means a registered user account on the Service.
"AI Content" or "AI-Generated Content" means any content, summaries, commentary, classifications, research outputs, or analyses generated, assisted, or processed by artificial intelligence or automated systems within the Service.
"App" means the authenticated, account-accessible areas of the Service.
"Billing Cycle" means each recurring monthly period during which a Subscription is active and for which a charge is assessed.
"Content" means all text, data, graphics, images, commentary, research outputs, AI-Generated Content, performance metrics, and other materials made available through the Service, excluding User Content.
"Custom Filter" or "Custom View" means a user-defined combination of filters applied to the Transaction universe. Custom Filters are user-controlled research tools. WiseSignal does not review, endorse, or validate any Custom Filter or the results it produces.
"Public Features" means portions of the Service accessible without account creation or authentication, including the public tracker and public informational pages.
"Public Tracker" means the publicly accessible section of the Service that displays selected Transactions, Signals, and Strategy performance data.
"Research Content" means the enriched data, contextual analysis, AI commentary, tags, performance metrics, and other informational materials generated by WiseSignal and made available through the Service.
"Service" means the WiseSignal website, application, Public Tracker, research tools, and all related services, features, content, and functionality provided by WiseSignal.
"Signal" means a Transaction that meets the selection criteria of one of WiseSignal's curated Strategies. A Signal indicates only that the Transaction satisfies a defined set of objective, transparent filters. A Signal is not a recommendation, endorsement, or solicitation to buy, sell, or hold any security, and does not constitute investment advice.
"Strategy" or "Selection Strategy" means a predefined combination of objective filters applied to the universe of insider purchase Transactions to identify Signals for informational and research tracking. Strategies are informational filter presets, not investment advice, model portfolios, or managed strategies. WiseSignal does not recommend that users follow, replicate, or trade based on any Strategy.
"Stripe" means Stripe, Inc., the third-party payment platform that acts as the merchant of record for subscription payment transactions through Stripe Managed Payments. Stripe processes payments, handles tax compliance in supported jurisdictions, manages chargebacks and disputes, and appears on customer bank or credit card statements. WiseSignal is the provider of the Service; Stripe is the merchant of record for the subscription payment transaction.
"Subscription" means a paid, recurring subscription plan that grants access to the Service.
"Third-Party Data Providers" means any third-party sources from which WiseSignal obtains data, including providers of SEC filings, market data, financial data, news, and analytics.
"Third-Party Services" means any third-party platforms, tools, providers, or services used by WiseSignal or accessible through the Service, including payment processors, hosting providers, analytics providers, and data providers.
"Transaction" means a direct open-market purchase of securities by a corporate insider as reported in a Form 4 filing with the U.S. Securities and Exchange Commission. WiseSignal tracks and enriches Transactions with contextual data for informational and research purposes. A Transaction is a factual record of a filing, not a recommendation.
"Trial" means the free trial period, currently 14 days, offered to eligible new users before the Subscription converts to a paid plan.
"User Content" means any content submitted, saved, or created by a user within the Service, including watchlist entries, saved filter configurations, and any notes or labels the user applies. User Content does not include data generated by WiseSignal, such as AI commentary, tags, or performance metrics.
"Website" means the WiseSignal website located at wisesignal.io and any successor URLs.
2. Eligibility and Account Registration
To create an Account or use authenticated features of the Service, you must:
- (a) Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater;
- (b) Have the legal capacity to enter into a binding agreement;
- (c) Provide accurate, current, and complete registration information and maintain the accuracy of such information;
- (d) Maintain the security and confidentiality of your account credentials, including your password;
- (e) Accept responsibility for all activity that occurs under your Account, whether or not authorized by you; and
- (f) Promptly notify WiseSignal at contact@wisesignal.io of any unauthorized access to or use of your Account, or any other breach of security.
WiseSignal reserves the right to suspend, disable, or terminate any Account at any time if we reasonably believe that the registration information is inaccurate, that the Account has been compromised, or that the Account has been used in violation of these Terms, including but not limited to misuse, fraud, abuse, or policy violations.
3. Description of the Service
WiseSignal is a stock research and informational analysis platform focused on insider purchase intelligence, contextual data enrichment, AI-assisted research summaries, and research and informational exploration of historical performance data.
The Service may include, without limitation:
- The Public Tracker and public informational pages;
- Authenticated application areas accessible to registered users;
- AI-generated or AI-assisted summaries, commentary, and research outputs;
- Filters, tags, research context, and performance and statistical tools;
- Watchlists, saved views, account settings, billing pages, and related account functionality.
WiseSignal may change, improve, suspend, remove, or replace any features, models, data sources, methodologies, or workflows at any time, with or without notice. Certain parts of the Service are publicly accessible as Public Features, while others require an Account or an active Subscription.
4. No Investment Advice; No Broker, Dealer, or Adviser Relationship
WiseSignal is a research and informational tool only.
WiseSignal is not a broker-dealer, investment adviser, tax adviser, legal adviser, or fiduciary. WiseSignal is not registered as a broker-dealer, investment adviser, or similar regulated financial intermediary with the U.S. Securities and Exchange Commission or any state securities regulator.
Nothing in the Service — including any Transaction, Signal, Strategy, Custom Filter, AI Content, Research Content, performance metric, tag, classification, or other output — constitutes:
- Investment advice;
- Legal advice;
- Tax advice;
- Financial planning advice; or
- A recommendation or solicitation to buy, sell, or hold any security.
All information provided through the Service is impersonal and general in nature. It is not tailored to any individual user's financial situation, investment objectives, risk tolerance, or personal circumstances.
You are solely responsible for evaluating any securities, conducting your own independent due diligence, consulting with qualified professionals as appropriate, and making your own investment and financial decisions.
No fiduciary, advisory, or professional-client relationship of any kind — including attorney-client, accountant-client, or financial planner-client — is created by your access to the Service, your Subscription, or your use of any Content.
You must not rely on the Service as a substitute for independent financial, legal, tax, or investment analysis.
5. AI-Generated and AI-Assisted Content Disclaimer
Certain Content within the Service is generated, summarized, classified, or assisted by artificial intelligence and automated systems ("AI Content"). This includes, but is not limited to, research summaries, contextual commentary, company analysis, and classification outputs.
You acknowledge and agree that:
- (a) AI Content may be inaccurate, incomplete, stale, misleading, inconsistent, or based on incomplete or incorrect source data;
- (b) AI Content is provided for informational convenience only and is not a substitute for independent research or professional judgment;
- (c) You must independently verify any material fact, figure, claim, or conclusion presented in AI Content before relying on it for any purpose;
- (d) WiseSignal does not guarantee that AI Content is correct, complete, current, or suitable for any specific purpose, including any trading, investment, legal, tax, or financial purpose;
- (e) The use of internal review, gating, validation, quality control, or compliance checks by WiseSignal does not create a guarantee or warranty of correctness, completeness, or reliability of AI Content; and
- (f) AI Content may change over time as underlying models, prompts, systems, data sources, or methodologies are updated, modified, or replaced.
6. Data Accuracy, Timeliness, Completeness, and Methodology Disclaimer
WiseSignal depends on third-party sources, including SEC filings, market data, financial data, news, analytics services, and infrastructure providers. You acknowledge and agree that:
- (a) Data available through the Service may be delayed, incomplete, inaccurate, corrected, restated, unavailable, or subject to differing interpretations;
- (b) Corporate actions, filing amendments, parser errors, provider outages, methodology changes, stale data, timezone discrepancies, and other technical or operational conditions may affect the data, outputs, and research surfaces available through the Service;
- (c) WiseSignal does not guarantee the accuracy, timeliness, completeness, or availability of any data, metrics, tags, classifications, scores, commentary, or research surfaces;
- (d) WiseSignal may update, correct, remove, restate, or reprocess data and outputs at any time, with or without notice; and
- (e) You agree not to treat any single item of data, output, or research material as error-free or as a definitive source of truth.
7. Historical Performance, Backtests, and Research Metrics Disclaimer
Any historical returns, win rates, averages, performance summaries, filter-based results, hypothetical strategy metrics, or other performance analytics displayed through the Service are provided for research and informational purposes only.
You acknowledge and agree that:
- (a) Past performance is not indicative of future results. Historical performance data does not guarantee, predict, or imply future outcomes;
- (b) Hypothetical, model-based, simulated, or filtered historical results have inherent limitations and do not represent actual trading;
- (c) Strategy and filter-based metrics may be affected by data changes, methodology changes, missing data, corporate actions, survivorship bias, sampling issues, and other factors;
- (d) No representation or warranty is made that any user will or is likely to achieve results comparable to any performance data displayed through the Service; and
- (e) Performance metrics should be treated as research tools, not as promises, projections, or forecasts of future performance.
8. Subscription Plans, Pricing, and Trial
WiseSignal offers Subscription plans at the prices displayed on the pricing page or at checkout. Pricing may change; the price in effect at checkout or at the time of renewal governs.
Trial. The Subscription includes a 14-day free Trial for eligible users. A valid payment method is required to start the Trial. If you do not cancel before the end of the 14-day Trial period, your Subscription will automatically convert to a paid monthly Subscription and you will be charged.
Trial eligibility may be limited to new users and may be determined by WiseSignal and/or Stripe using account, billing, device, or anti-abuse criteria. WiseSignal reserves the right to deny, limit, withdraw, or modify Trial availability at any time without notice.
Any promotional pricing, discount codes, or introductory offers may be subject to additional or different conditions as communicated at the time of the offer.
9. Billing, Auto-Renewal, and Stripe Managed Payments
Subscriptions are billed in advance on a recurring monthly basis and automatically renew unless cancelled before the next billing date in accordance with Section 10.
These Terms govern your access to and use of the Service. Stripe's role as merchant of record applies to subscription billing transactions processed through Stripe Managed Payments.
All subscription billing, payment processing, and checkout are handled by Stripe through Stripe Managed Payments. Under this arrangement, Stripe acts as the merchant of record for subscription payment transactions. Stripe processes the payment and appears on your bank or credit card statement.
WiseSignal remains responsible for providing the Service itself — including the research platform, data, content, and access management based on subscription status. You may be subject to Stripe's terms of service, privacy policy, and payment processing requirements in addition to these Terms.
WiseSignal does not directly process, store, or have access to full payment card information. WiseSignal may store limited billing-related metadata (such as subscription status, billing dates, and plan type) solely for the purpose of managing your access to the Service.
Applicable taxes, including sales tax, VAT, and GST, are calculated, collected, and remitted by Stripe in supported jurisdictions as part of the Managed Payments arrangement.
Chargebacks and payment disputes are processed by Stripe as part of the Managed Payments arrangement. If you have billing questions or disputes, contact WiseSignal at contact@wisesignal.io and we will coordinate with Stripe where appropriate.
WiseSignal may suspend or restrict your access to the Service for non-payment or billing failure. WiseSignal may change subscription terms or pricing prospectively with notice as described in Section 27.
10. Cancellation and Subscription Management
You may cancel your Subscription at any time through the Stripe Billing Portal or through any account settings flow provided by WiseSignal. Cancellation stops renewal at the end of the current Billing Cycle. Cancellation does not retroactively cancel charges already incurred and does not entitle you to a refund for the current Billing Cycle.
After cancellation, you retain access to the Service through the end of your current Trial or paid Billing Cycle, unless your access is suspended earlier for breach, fraud, abuse, or other reasons described in these Terms.
WiseSignal may also cancel, suspend, or refuse renewal of your Subscription where necessary for abuse prevention, compliance, fraud, payment issues, or violations of these Terms.
If billing fails, your access may be downgraded, suspended, or terminated.
Support. You may contact WiseSignal for support through the in-app Featurebase messenger or by email at contact@wisesignal.io. WiseSignal does not guarantee support response times or resolution outcomes. For formal legal and dispute notice requirements, see Section 26.
11. Refunds
The 14-day free Trial is the primary no-risk evaluation period for the Service. WiseSignal does not offer a separate money-back guarantee outside of the Trial, unless required by applicable law or expressly stated at checkout.
After a paid Billing Cycle begins, fees are generally non-refundable, except:
- (a) Where required by applicable law; or
- (b) Where WiseSignal or Stripe, in sole discretion, chooses to issue a refund.
Any discretionary refund does not create a right to future refunds, does not establish a policy or practice of issuing refunds, and is granted entirely at the discretion of WiseSignal or Stripe.
No partial refunds or credits are issued for unused portions of a Billing Cycle, except where required by applicable law.
Refunds are processed through the Managed Payments flow. You may contact WiseSignal at contact@wisesignal.io for billing support, and WiseSignal will coordinate with Stripe where appropriate.
12. Acceptable Use and Prohibited Conduct
You may use the Service only for lawful, personal, and permitted purposes in accordance with these Terms.
You agree not to:
- (a) Violate any applicable law, regulation, or rule;
- (b) Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- (c) Interfere with, disrupt, or compromise the security, integrity, or performance of the Service or its infrastructure;
- (d) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service, except to the extent expressly permitted by applicable law;
- (e) Transmit any malware, virus, worm, Trojan horse, or other harmful or disruptive code;
- (f) Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service;
- (g) Abuse, exploit, or manipulate support channels, payment systems, trial offers, or promotional mechanisms;
- (h) Use the Service for market manipulation, securities fraud, or any unlawful trading activity;
- (i) Create multiple accounts, use false identities, or misuse trial offers to evade restrictions, fees, or account limitations; or
- (j) Use the Service in any manner that creates legal, technical, or reputational harm to WiseSignal.
13. No Scraping, Redistribution, Account Sharing, or Competitive Use
Without limiting Section 12, you specifically agree not to:
- (a) Scrape, crawl, spider, harvest, or engage in automated extraction or bulk download of any Content, data, or materials from the Service, except through expressly authorized interfaces;
- (b) Republish, sublicense, resell, syndicate, redistribute, or commercially exploit any Content, Research Content, data, screenshots at scale, or outputs of the Service;
- (c) Share your login credentials or allow multiple individuals to access or use a single-user Account;
- (d) Use the Service or its outputs — including data, research, AI Content, performance metrics, or any derivative thereof — to build, train, benchmark, or support any competing product, model, dataset, alert service, or research platform; or
- (e) Remove, obscure, or alter any copyright notices, trademarks, branding, or source attribution associated with the Service or its Content.
WiseSignal may monitor usage patterns and take action — including suspension, termination, or legal proceedings — against any user engaged in or suspected of engaging in any of the foregoing activities.
14. Intellectual Property and License
WiseSignal and its licensors own all right, title, and interest in and to the Service, including the software, design, trademarks, service marks, logos, research presentation, databases, data compilations, content organization, and all Content that is not User Content. This includes any database rights or sui generis rights in the curated, enriched, and organized datasets made available through the Service.
License to You. Subject to your compliance with these Terms, WiseSignal grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose and in accordance with these Terms. This license does not include any right to resell, redistribute, or commercially exploit the Service or its Content.
No ownership of any kind is transferred to you under these Terms.
Feedback. If you provide suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), WiseSignal may use such Feedback without any obligation, compensation, or attribution to you.
User Content. You retain ownership of your User Content. By submitting User Content to the Service, you grant WiseSignal a limited, non-exclusive, worldwide, royalty-free license to host, store, and process that content solely for the purpose of providing the Service to you. WiseSignal does not claim ownership of User Content.
15. Copyright Infringement and DMCA Notices
WiseSignal respects the intellectual property rights of others. If WiseSignal becomes aware of or receives a claim that user-submitted content available through the Service infringes a third party's copyright, WiseSignal may remove or disable access to the allegedly infringing content.
Filing a Notice. If you are a copyright holder or authorized agent and believe that content on the Service infringes your copyright, you may submit a written notice to WiseSignal's designated copyright agent at contact@wisesignal.io. Your notice must include:
- (a) Identification of the copyrighted work claimed to have been infringed;
- (b) Identification of the allegedly infringing material and its location on the Service, with sufficient detail to permit WiseSignal to locate it;
- (c) Your contact information, including name, address, telephone number, and email address;
- (d) A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law;
- (e) A statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner; and
- (f) Your physical or electronic signature.
Repeat Infringers. WiseSignal may terminate or suspend the Accounts of users who are determined to be repeat infringers.
Counter-Notice. If you believe that your content was removed or disabled in error, you may submit a counter-notice to contact@wisesignal.io in accordance with applicable provisions of the Digital Millennium Copyright Act.
16. Third-Party Services, Data Providers, and Links
The Service may rely on Third-Party Services and Third-Party Data Providers, including payment processors, data providers, analytics services, hosting providers, and other infrastructure and service providers. WiseSignal does not control and is not responsible for the systems, policies, availability, accuracy, or content of any third party.
Third-party data made available through the Service may be subject to separate rights, restrictions, and licensing terms.
The Service may contain links to third-party websites, resources, or services. Access to any third-party resource is at your own risk, and WiseSignal is not responsible for the content, accuracy, or practices of any third-party website or service.
Outages, data discrepancies, policy changes, and inaccuracies from Third-Party Services or Third-Party Data Providers may affect the Service, and WiseSignal is not liable for such impacts.
Your access to certain data or features may be limited or modified to comply with third-party provider terms, licensing restrictions, or data redistribution requirements.
17. Privacy and Data Handling
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect your personal data.
WiseSignal uses service providers — including Stripe, infrastructure vendors, and other tools — to operate the Service. Account, billing, and anti-abuse systems may use hashed identifiers and operational metadata as described in the Privacy Policy.
Your privacy rights and obligations are governed more fully in the Privacy Policy. To the extent there is a conflict between these Terms and the Privacy Policy regarding the handling of personal data, the Privacy Policy governs.
18. Availability, Changes, and Beta Features
WiseSignal may modify, suspend, discontinue, replace, or limit any part of the Service at any time, with or without notice. Features may evolve rapidly, including AI features, tracker displays, metrics, tags, and methodology surfaces.
Access to certain features may vary by subscription status, geography, technical compatibility, or rollout stage. WiseSignal is not obligated to maintain any particular feature, data provider, model, or integration permanently.
Certain features may be designated as beta, experimental, or subject to change. Such features are provided without any commitment to continued availability or stability.
Force Majeure. WiseSignal is not liable for any delay, failure, or interruption in the Service caused by events beyond its reasonable control, including but not limited to third-party data provider outages, SEC filing delays, cloud infrastructure failures, natural disasters, government actions, pandemics, cyberattacks, acts of war or terrorism, labor disputes, or other force majeure events.
19. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
To the maximum extent permitted by applicable law, WiseSignal disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, uninterrupted operation, and error-free performance.
WiseSignal does not warrant that:
- (a) The Service will be uninterrupted, timely, secure, or error-free;
- (b) The results obtained from the use of the Service will be accurate, reliable, or complete;
- (c) Any defects in the Service will be corrected; or
- (d) Any Content, data, AI Content, or output will be suitable for trading, investing, regulatory, tax, legal, or any professional decision-making purpose.
20. Limitation of Liability
To the maximum extent permitted by applicable law:
(a) No Consequential Damages. In no event shall WiseSignal, its officers, directors, members, employees, agents, or licensors be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to damages for trading losses, loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising out of or in connection with these Terms or your use of or inability to use the Service, regardless of the theory of liability (whether contract, tort, strict liability, or otherwise) and even if WiseSignal has been advised of the possibility of such damages.
(b) No Liability for Reliance. Without limiting the foregoing, WiseSignal shall not be liable for any loss, damage, or claim arising from:
- Your reliance on any Content, AI Content, Research Content, data, or output;
- Any investment or trading decision you make;
- Any failure, error, or inaccuracy in third-party data or services;
- Any issue related to payment processing, including Stripe;
- Any delay, outage, bug, or inaccuracy in the Service.
(c) Aggregate Liability Cap. WiseSignal's total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of: (i) the amounts paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim, regardless of which entity processed the payment; or (ii) one hundred dollars ($100.00).
(d) Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the limitations and exclusions set forth above shall apply to the maximum extent permitted by applicable law.
21. User Indemnification
You agree to defend, indemnify, and hold harmless WiseSignal, its officers, directors, members, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- (a) Your breach of these Terms;
- (b) Your misuse of the Service;
- (c) Your unlawful conduct in connection with the Service;
- (d) Any infringement or violation of third-party rights caused by your User Content or actions;
- (e) Your account-sharing, scraping, redistribution, or abusive usage of the Service; or
- (f) Any claim brought by a third party related to your use of the Service.
22. Suspension, Termination, and Access Restriction
WiseSignal may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and without prior notice, for any reason, including but not limited to: breach of these Terms, fraud, abuse, legal or regulatory concerns, payment failure, security issues, or risk to the platform or other users.
You may stop using the Service at any time and may cancel your Subscription as described in Section 10.
Effect of Termination. Upon termination of your Account or Subscription for any reason:
- (a) Your license to use the Service immediately terminates;
- (b) Your access to the Service ends or is limited to Public Features, as applicable;
- (c) WiseSignal is not obligated to maintain, export, or provide access to any User Content, data, watchlists, settings, or account preferences after termination. Some data may be retained as required by law, regulation, or internal policy.
Survival. The following provisions survive termination of these Terms: Sections 1 (Definitions), 4 (No Investment Advice), 5 (AI Disclaimer), 6 (Data Accuracy Disclaimer), 7 (Performance Disclaimer), 14 (Intellectual Property), 19 (Disclaimer of Warranties), 20 (Limitation of Liability), 21 (Indemnification), 22 (Suspension and Termination — Survival), 23 (Dispute Resolution), 24 (Class Action Waiver), 25 (Governing Law), and 26 (Notices).
23. Dispute Resolution; Mandatory Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
(a) Informal Resolution First. Before initiating any formal dispute proceeding, you agree to first contact WiseSignal at contact@wisesignal.io with a written description of your claim and the specific relief sought. WiseSignal and you will attempt to resolve the dispute informally for at least thirty (30) days from the date WiseSignal receives your notice. During this period, neither party may initiate arbitration or court proceedings (except for injunctive relief as described below).
(b) Binding Arbitration. If the dispute is not resolved informally within thirty (30) days, either party may initiate binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including the formation, interpretation, breach, performance, or termination of these Terms, and including any claim that all or any part of these Terms is void or voidable — shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by this Section.
(c) Arbitration Procedures. The seat of arbitration shall be Delaware. All arbitration proceedings shall be conducted remotely — by videoconference, telephone, or written submissions — unless both parties agree in writing to an in-person hearing. The arbitrator shall have the authority to award any relief that would be available in court, subject to the limitations in these Terms. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
(d) Small Claims Exception. Either party may bring an individual action in small claims court of competent jurisdiction as an alternative to arbitration, provided the claim falls within the court's jurisdictional limits.
(e) Injunctive Relief. Notwithstanding the arbitration requirement, WiseSignal may seek preliminary injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, prevent scraping or unauthorized access, address confidentiality breaches, or stop ongoing abuse, without first submitting to arbitration or waiting for arbitral proceedings.
24. Class Action Waiver and Jury Trial Waiver
(a) Class Action Waiver. You and WiseSignal agree that all claims and disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class action, collective action, consolidated action, representative action, or class arbitration. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
(b) Severability of Class Waiver. If any court or arbitrator determines that the class action waiver set forth in this Section is unenforceable as to a particular claim or request for relief, then that claim or request for relief shall be severed and may proceed in a court of competent jurisdiction, but the remaining claims shall continue to be subject to individual arbitration under Section 23.
(c) Jury Trial Waiver. To the maximum extent permitted by applicable law, you and WiseSignal each waive the right to a jury trial for any claim or dispute arising out of or relating to these Terms or the Service.
25. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles.
This governing law provision operates alongside and does not replace the arbitration provisions set forth in Section 23. For any court proceedings that are permitted under Section 23 (including injunctive relief and claims severed from arbitration), the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.
26. Electronic Communications and Notices
By using the Service, you consent to receive electronic communications from WiseSignal relating to the Service, including billing, legal notices, account issues, and operational matters.
Operational Notices. Operational notices — including feature updates, maintenance notifications, and product announcements — may be provided by email, in-app notification, on-site posting, or through the Featurebase in-app messenger.
Legal Notices. Legal notices, formal account notices, and dispute-related communications (including notices required under Section 23) must be delivered by email:

Email notice is deemed given when sent to the correct address, unless applicable law requires otherwise. Until WiseSignal publishes a physical mailing address, email to contact@wisesignal.io is the sole accepted channel for legal and dispute notices.
You are responsible for maintaining a valid, current email address associated with your Account. WiseSignal is not liable for any failure of notice caused by an outdated, incorrect, or invalid email address provided by you.
27. Changes to the Terms
WiseSignal may update these Terms from time to time.
Material Changes. For material changes — including changes to pricing, arbitration, liability, or dispute resolution terms — WiseSignal will provide at least thirty (30) days' notice before the changes take effect, via email to your registered email address, in-app notification, or prominent posting on the Service.
Non-Material Changes. For non-material changes, updated Terms become effective when posted on the Service or when otherwise communicated, unless a different effective date is stated.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your Subscription before the changes take effect or before your next renewal date.
28. Export Controls, Sanctions, and Compliance
You represent and warrant that:
- (a) You are not located in, organized under the laws of, or a resident or national of any country or territory that is subject to comprehensive U.S. economic sanctions; and
- (b) You are not identified on any U.S. government list of prohibited or restricted parties.
You agree not to use the Service in violation of any applicable export control laws, trade sanctions, or embargo regulations.
29. California Residents — Auto-Renewal and Consumer Disclosures
Automatic Renewal Disclosure (Cal. Bus. & Prof. Code §§ 17600–17606). If you are a California resident, the following applies to your Subscription:
- Your Subscription will automatically renew on a monthly basis at the then-current price unless you cancel before the next renewal date.
- Before or at the time of subscription, you will receive clear and conspicuous disclosure of the automatic renewal terms, cancellation policy, and recurring charge amount.
- You will receive an acknowledgment of the subscription terms in a form capable of being retained (such as an email confirmation).
- You may cancel your Subscription online at any time through the Stripe Billing Portal or through the account settings provided by WiseSignal. Cancellation takes effect at the end of the current Billing Cycle.
Consumer Complaint Notice (Cal. Civ. Code § 1789.3). The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210, regarding complaints about the Service or to receive further information about using the Service.
30. Severability, Waiver, Assignment, and Entire Agreement
(a) Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms.
(b) No Waiver. The failure of WiseSignal to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any provision shall be effective unless made in writing and signed by an authorized representative of WiseSignal.
(c) Assignment. WiseSignal may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, corporate restructuring, or similar transaction, without your consent. You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of WiseSignal.
(d) Entire Agreement. These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and WiseSignal regarding the Service. These Terms supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral, regarding the Service. To the extent there is a conflict between these Terms and the Privacy Policy, the Privacy Policy shall govern with respect to privacy-related matters, and these Terms shall govern with respect to all other matters.
